Sofina launches 545 million euros capital increase

Belgian investment company Sofina SA has announced a rights offering of up to 545 million euros through the issuance of 2,446,428 new shares, representing about 7.1 percent of its capital.

The subscription price is set at 223 euros per share, a 12.1 percent discount to Sofina’s closing share price on September 23.

The company’s reference shareholder, holding roughly 55 percent, has committed to fully exercise its rights in the transaction.

Sofina said the capital increase will expand its permanent capital base, enabling the firm to pursue larger and more flexible investment opportunities while reinforcing its diversified platform. CEO Harold Boël stated the move will allow Sofina to “do more of what we do best, at greater scale and with more flexibility.”

The investment firm, with a history of more than 125 years, emphasized its long-term, diversified approach across regions and sectors. Sofina also expects to receive a first A- investment grade rating with stable outlook from S&P, supporting its capacity to access debt markets in the coming years while keeping leverage conservative.
