Puratos and Dawn Foods announced today a definitive agreement for Puratos to acquire Dawn Foods, subject to customary regulatory approvals.
Both family-owned companies, founded in 1919 and 1920 respectively, have built strong reputations for delivering high-quality products and innovative solutions to the professional baking industry. This acquisition aims to merge their complementary expertise and global reach.
Dawn Foods, known for its leadership in authentic American sweet bakery products – such as donuts, muffins, and cookies – operates across North America, Europe, AMEAP, and Latin America. The company’s strengths lie in seasonal inspiration, ready-to-use solutions, and a robust distribution network, particularly in North America.
Puratos, meanwhile, specializes in bakery, patisserie, and chocolate, with a focus on fermentation, sourdough, grains, and advanced ingredient technology. Its global presence spans 87 countries, supported by technology-driven production sites.
The combination of Dawn Foods’ application-driven creativity and Puratos’ R&D-focused ingredient technology is expected to enhance innovation and production capabilities. Dawn’s large-scale, standardized manufacturing will complement Puratos’ flexible, customized production, while connecting Dawn’s extensive North American distribution with Puratos’ international network. Together, they aim to better serve customers seeking both mainstream efficiency and advanced technological solutions across a broader range of bakery and sweet goods applications.
The transaction is anticipated to close by the end of 2026, pending regulatory approvals. Until then, both companies will continue to operate independently.

J.P. Morgan and A&O Shearman advise Puratos, with BMO Capital Markets and Winston & Strawn advising Dawn Foods. Financing is led by Bank of America, ING Belgium, and KBC Bank.
