Belgian medtech company Nyxoah has secured financing commitments of up to 77 million US dollars to accelerate the U.S. commercialization of its Genio neurostimulation system for obstructive sleep apnea (OSA).
The package includes a 17 million euros private placement, a 5.6 million US dollars registered direct offering, and a convertible bond facility of up to 45 million euros.
Investors participating in the equity raise include Cochlear, ResMed, and members of Nyxoah’s chairman and management team. The private placement involves 4.27 million new shares priced at 4 euros each, while the direct offering adds another 1.22 million shares at 4.63 US dollars.
Nyxoah also agreed to issue convertible bonds in two tranches of 22.5 million euros each, with the first expected to close in December 2025. The bonds carry a 6.5 percent annual interest rate and a default conversion price of 5 euros.
The fresh capital will support U.S. market launch activities, further clinical research, product development, and broader corporate purposes including potential acquisitions.
Nyxoah, listed on Euronext Brussels and Nasdaq, develops the Genio system, a leadless, battery-free hypoglossal neurostimulation therapy for OSA.
