Gimv raised a total of 247 million euros through a public offering and a private placement of Scrips.
The offering was fully subscribed by both existing shareholders and new investors, marking a significant milestone in the company’s 45-year history.
CEO Koen Dejonckheere and CFO Kristof Vande Capelle express their gratitude to investors, emphasizing that the additional funds will support Gimv’s growth strategy. On February 7, 2025, 5,009,632 unexercised Preferential Rights (Scrips) were privately placed with Belgian and international investors via an accelerated bookbuilding process. Buyers of the Scrips committed to subscribing to 1,252,408 new shares at 34.50 euros per share under the same conditions as existing shareholders.
The capital increase will see WorxInvest’s shareholding in Gimv rise from 29.9 percent to 32.3 percent. The net proceeds of the Scrips sale amount to 0.48 euros per unexercised Preferential Right, payable from February 12, 2025. Delivery and trading of the New Shares on Euronext Brussels are expected to commence on February 11, 2025, following the lifting of a temporary trading suspension.
KBC Securities and Belfius Bank, in collaboration with Kepler Cheuvreux, acted as Joint Global Coordinators and Joint Bookrunners for the transaction, with Bank Degroof Petercam, BNP Paribas Fortis, and ING Belgium also serving as Joint Bookrunners.
